Fund Structure: The Irish Collective Asset-management Vehicle (ICAV)
An Irish Collective Asset-management Vehicl (ICAV) is the current vehicle of choice for promoters establishing regulated funds in Ireland. It is a corporate vehicle tailored specifically for investment fund structuring. It may be authorised as a UCITS or an AIF. It may be open ended, closed ended or have limited liquidity. The ICAV is an "eligible entity" for US tax purposes and can file a ‘check-the-box’ election to be treated as a partnership (or a disregarded entity if a single shareholder) for US federal income tax purposes. ICAV legislation facilitates the re-domiciliation by way of continuation of non-Irish corporate funds into Ireland as ICAVs.
