A&L Goodbody advises numerous leading trustee and agency companies in respect of both special purpose companies and regulated investment funds. We commonly advise on all agency roles including trustee, paying agent, account bank/custodian, portfolio administrator and cash manager, on a wide range of transactions. We are familiar with and have acted for corporate trust and agency clients on various products, including stand-alone bond and MTN programmes, hybrid capital issues, securitisations, repack programmes, secured lending and all other forms of asset-backed and structured finance.

Our team also advises on all post-issue matters such as restructurings and refinancing's, liability management and noteholder meetings, default and enforcement scenarios and generally on the exercise of trustee powers, duties and discretions. We work closely with our Restructuring & Insolvency colleagues on post-issue matters and on default and enforcement scenarios.

    as trustee in respect of an approx. €4bn portfolio of performing residential mortgage loans securitisation by AIB and arranged by Bank of America Securities.

  • BNP Paribas

    as trustee to the noteholders, in respect of €400m guaranteed notes (and subsequent €150m tap issuance) and €500m guaranteed notes, issued by daa Finance plc.

  • Apex

    in its capacity as trustee to the noteholders on various section 110 companies established by a leading UK investment manager.

  • JP Morgan

    as administrative agent to the Senior Lenders to the Weatherford Group of companies on all Irish law aspects of its global restructuring.

  • BNY Mellon

    as trustee to the noteholders in respect of Santander’s €181m synthetic securitisation.

  • Ambac Assurance UK Limited

    on an Irish law scheme of arrangement to restructure US$1.6bn of New York law governed notes issued by Ballantyne.
